Contract terms

General Terms of Service

This document is a basic template. The final terms applicable to each engagement are specified in the quote or contract signed between the parties. Have these terms reviewed by a lawyer before making them contractual.

1. Purpose

These terms govern the services offered by Kodex Production (Aurevia Holding Group SRL): consulting, communication, design, web and application development, deployment and maintenance.

2. Quotes and orders

Every service is subject to a detailed quote. The order is deemed firm once the client accepts the quote in writing (signature or agreement by email) and, where applicable, pays the agreed deposit.

3. Price and payment terms

Prices are shown in euros, [excl. VAT / VAT added, to be specified according to status]. Unless otherwise stated in the quote, the usual terms are:

a deposit on order;
the balance on delivery or according to the schedule set out in the quote.

Invoices are payable within [30 days, to be specified]. Any delay may result in late payment interest at the legal rate and a flat-rate compensation for collection costs, in accordance with Belgian law.

4. Timelines

Delivery timelines are given as an indication and depend on the client providing the necessary materials (content, access, approvals) in a timely manner. Kodex Production cannot be held liable for delays attributable to the client or a third party.

5. Client obligations

The client agrees to provide, in a timely manner, all the information, content and access needed for the proper execution of the engagement, and to appoint a contact person authorized to approve deliverables.

6. Intellectual property

Intellectual property rights over the deliverables are transferred to the client after payment in full for the service. Before full payment, Kodex Production retains all rights. Kodex Production reserves the right to mention the project among its references, unless a confidentiality clause states otherwise.

7. Confidentiality

Each party agrees to preserve the confidentiality of information exchanged as part of the engagement. A specific non-disclosure agreement (NDA) may be signed at the client's request.

8. Liability

Kodex Production is bound by an obligation of means. Its liability is limited to the amount of the service concerned and does not cover indirect damages. Kodex Production cannot be held liable for malfunctions related to third-party services (hosts, APIs, platforms) or for changes made by the client after delivery.

9. Termination

In the event of a serious breach by either party, the other party may terminate the engagement after formal notice remains unanswered for [15 days, to be specified]. Services performed up to termination remain payable.

10. Governing law and jurisdiction

These terms are governed by Belgian law. Any dispute falls under the exclusive jurisdiction of the courts of the district of the registered office of Aurevia Holding Group SRL.
